RESOLUTION NO. 1709
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CIBOLO, TEXAS,
APPOINTING DENTON NAVARRO RODRIGUEZ BERNAL SANTEE & ZECH,
P.C. ("DNRBS&Z") TO PROVIDE INTERIM LEGAL SERVICES AS CITY
ATTORNEY, DESIGNATING A CITY ATTORNEY AND ASSISTANT CITY
ATTORNEYS, PROVIDING FOR REPEAL, PROVIDING FOR SEVERABIILTY, AND
PROVIDING AN EFFECTIVE DATE.
WHEREAS, the City Council finds it terminated Hyde Kelley, LLP, as the City's legal
services firm and City Attorney on March 11, 2025, upon passing Resolution 1704 by a 4-3
vote on March 11, 2025; and
WHEREAS, the City Council finds it directed the City Manager to hire Denton Navarro
Rodriguez Bernal Santee & Zech, P.C. ("DNRBS&Z") for the City of Cibolo to provide interim
legal services to include all special projects under Item I IH on March 11, 2025; and,
WHEREAS, the City Council finds and determines that the law firm of DNRBS&Z is
composed of Attorneys and professionals who are qualified to provide legal services for
municipal operations, including litigation and special projects, until the completion of a
request for proposals for legal services is completed and City Council awards services upon
the completion of this competitive process; and,
WHEREAS, the City Council finds good cause exists to appoint Paul Wendland, State Bar No.
24025707, Senior Associate Attorney with DNRBS&Z, as the City Attorney of the City of
Cibolo, Texas, during this period of time; and,
WHEREAS, the City Council finds that the City Manager on behalf of the City executed an
engagement letter on March 20, 2025, with DNRBS&Z for interim City Attorney services
("Engagement Letter — Interim City Attorney Services") dated March 19, 2025; and,
WHEREAS, the City Council finds that such engagement letter should be approved by the City
Council for amounts exceeding $50,000, and,
WHEREAS, the City Council finds that the City Manager should be authorized to execute the
engagement letter on behalf of the City of Cibolo, Texas.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF CIBOLO, TEXAS:

SECTION 1. Findings. The foregoing recitals are hereby found to be true and correct and
are hereby adopted by the City Council and made a part hereof for all purposes and findings
of fact.
SECTION 2. Appointment. The City Council hereby appoints the law firm of DNRBS&Z to
provide legal services as the City Attorney's Office or Legal Department of the city.
SECTION 3. City Attorney. Paul Wendland, State Bar No. 24025707, Senior Associate
Attorney with DNRBS&Z, is hereby designated as the City Attorney.
SECTION 4. Assistant City Attorneys. All the lawyers employed by and associated with
DNRBS&Z now, and at any time in the future, are hereby designated as assistant City
Attorneys and are hereby authorized to represent and provide legal services to the City under
the supervision ofthe City Attorney subject, ultimately, to the discretion and direction of the City
Manager and City Council.
SECTION 5. Agreement. The engagement letter between DNRBS&Z and the City of Cibolo,
Texas is approved by the City Council.
SECTION 6. Execution. The City Council authorizes the City manager to execute the
engagement letter between DNRBS&Z and the City of Cibolo, Texas, and hereby acknowledges,
accepts, adopts, and ratifies the engagement letter between said parties and executed by the City
Manager on March 20, 2025.
SECTION 7. Cumulative Clause. This Resolution shall be and is hereby cumulative of all other
resolutions of the City and this Resolution shall not operate to repeal or affect any such other
resolutions except insofar as the provisions thereof might be inconsistent or in conflict with the
provisions of this Resolution, in which event such conflicting provisions, if any, in such other
resolution or resolutions are hereby repealed.
SECTION 8. Severability. If any section, subsection, sentence, clause, or phrase of this
Resolution shall for any reason be held to be invalid, such decision shall not affect the validity of
the remaining portions of this resolution.
SECTION 9. Effective Date. This Resolution shall become effective and be in full force and
effect from and after the date of passage and adoption by the city, and the engagement letter shall
be binding on the City of Cibolo, Texas.
