RES 1663 02/27/2024RESOLUTION NO. 1663 RESOLUTION BY THE CITY OF CIBOLO, TEXAS APPROVING THE ACQUISITION OF A 22.683-ACRE TRACT OF LAND IN THE CITY OF CIBOLO, TEXAS DESCRIBED AS LOT 1 BLOCK 2 OF THE FINAL SUBDIVISION PLAT ESTABLISHING FM 1103 AND MAIN STREET COMMERCIAL, A SUBDIVISION IN GUADALUPE COUNTY, TEXAS ACCORDING TO THE MAP OR PLAT THEREOF, RECORDED IN THE MAP AND PLAT RECORDS OF GUADALUPE COUNTY, TEXAS IN BOOK/VOLUME 8 ON PAGE 453-458; AUTHORIZING THE CITY MANAGER TO EXECUTE ALL CUSTOMARY CLOSING DOCUMENTS APPROVED AS TO FORM BY THE CITY ATTORNEY'S OFFICE, AUTHORIZING THE CITY MANAGER TO DISPENSE PUBLIC FUNDS; PROVIDING FOR REPEAL AND SEVERABILITY; DETERMINING THAT THE MEETING AT WHICH THIS RESOLUTION WAS PASSED WAS CONDUCTED IN COMPLIANCE WITH THE TEXAS OPEN MEETINGS ACT; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, the City Council finds the City of Cibolo ("City") is a Texas Home Rule Municipality, as defined by applicable law; and WHEREAS, the City Council finds H-E-B, LP, owns certain property within the City; and WHEREAS, the City Council finds H-E-B, LP, desires to convey a 22.683-acre tract of land in the City described as Lot 1 Block 2 of the final subdivision plat establishing FM 1103 and Main Street commercial, a subdivision in Guadalupe County, Texas ("the Property"); and WHEREAS, the City Council finds the Property suitable and desired to acquire the property for use as a public park and trailhead parking area; WHEREAS, the City Council finds the expenditure of funds as necessary for the acquisition and related closing costs, if any, related to acquiring the Property is a proper use of municipal funds and the City Manager should be authorized to expend the funds necessary to acquire and close the property transaction; and WHEREAS, the City Council finds adding a 22.683-acre tract of land to the city park system is in the best interest of the citizens of the municipality and increases the municipality park land and infrastructure available to the public, promotes a healthy lifestyle for its citizens who will make use of the park and its infrastructure, and promotes the beautification of the city with open space and additional public facilities; and WHEREAS, the City Council finds that all conditions precedent for the property acquisition have been fulfilled. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CIBOLO, TEXAS: 1, The statements set forth in and by reference in the recitals of this Resolution are true and correct, and the City Council hereby incorporates such recitals as apart of this Resolution. 2. The acquisition of the Property is approved. 3. The City Manager is hereby authorized to execute the deed of conveyance (attached to this Resolution as Attachment 1 and incorporated into this Resolution as if restated verbatim herein) and all customary closing documentation, approved as to form by the City Attorney's Office. 4. The City Manager is authorized to expend the funds necessary to acquire and close the property transaction. 5. This Resolution shall be and is hereby cumulative of all other resolutions of the Corporation and this Resolution shall not operate to repeal or affect any such other resolutions except insofar as the provisions thereof might be inconsistent or in conflict with the provisions of this Resolution, in which event such conflicting provisions, if any, in such other resolution or resolutions are hereby repealed. 6. If any section, subsection, sentence, clause, or phrase of this Resolution shall for any reason be held to be invalid, such decision shall not affect the validity of the remaining portions of this resolution. 7. Exceptions to, Conveyance and Warranty: This conveyance is expressly made and accepted subject to all easements, rights of way, liens, restrictions, covenants and other matters of public record affecting the Property, including but not limited to, that certain Variable Width Drainage and Floodway Easement created by that certain Final Subdivision Plat of FM 1103 and Main Street Commercial, a subdivision of Guadalupe County, Texas, according to the map or plat thereof recorded under Document No. 2016003593 of the Map and Plat Records of Guadalupe County, Texas (the "Plat") and all other easements, rights of way, restrictions covenants and other matters appearing on the Plat. If requested by Grantor, Grantee shall grant to Grantor a storm water or drainage easement for drainage from Grantor's property to the Property in a location reasonably requested by Grantor. Grantor, for the Consideration and subject to the Reversionary Interest (defined below) and the Exceptions to Conveyance and Warranty referenced above, hereby grants and conveys to Grantee the Property, together with all and singular the rights and appurtenances thereto in any way belonging, without express or implied warranty, to have and to hold it to Grantee and Grantee's heirs, successors, and assigns for so long as the Property is not used for any purpose other than for a public park (the "Public Park Use"). All warranties that might arise by common law, as well as the warranties in Section 5.023 of the Texas Property Code (or its successor statute), are expressly excluded. Grantee hereby agrees that it shall construct the public park, park improvements, and trailhead parking lot (collectively, the "Park Work") on the Property, at Grantee's cost and expense, as - provided herein and in accordance with the plans ("Plans") attached hereto as Exhibit "B". 4862-7036-1734, v. 9 Grantee shall construct the Park Work in accordance with the approved Plans and shall open the trailhead parking lot to the public no later than six (6) months following the date hereof. Any material modifications to the Plans or to the Park Work, or construction of new improvements on the Property, shall be subject to Grantor's prior written consent; provided, however, that Grantor's prior written consent shall not be required for Grantee's maintenance and/or landscaping of the Park Work or for the installation of a playscape on the Property. The Park Work shall be deemed completed after Grantee's completion of the Park Work and certification of such completion by Grantee's engineer, as confirmed and agreed to in writing by Grantor (the "Completion Certification"). The Completion Certification shall be issued to Grantor promptly after completion of the Park Work. If Grantee does not construct and open the public park and trailhead parking lot on the Property in accordance with the terms, provisions, and conditions herein on or before February 27, 2025 or if the Property is used for any purpose other than as the Public Park Use, then in either event title to the Property shall automatically and immediately vest in Grantor or its successors and assigns (such interest referred to herein as the "Reversionary Interest"); provided further that if (a) the Reversionary Interest has not vested on the date that is twenty-one (21) years after the death of the last survivor of the now living descendants of Charles III, King of England, and (b) Texas law as applied at such time makes the Reversionary Interest subject to the rule against perpetuities, then the Reversionary Interest shall be deemed to have lapsed and terminated on the date that falls 21 years after the death of the last survivor of the now living descendants of Charles III, King of England. If Grantee requests a clarification by Grantor as to whether an ancillary use is permitted under the Public Park Use, Grantee may submit such proposed use and request for clarification to Grantor for Grantor's consideration, which consideration shall be in Grantor's sole discretion.
