Res 1646 Approving Amendments to the bylaws of CEDCJ Or c/o f �+ O reap• -ayaaw�r RESOLUTION NO. 1'6 L14�; OF THE CITY COUNCIL ("CITY COUNCIL") OF THE CITY OF CIBOLO, TEXAS ("CITY") APPROVING AMENDMENTS TO THE BYLAWS OF THE CIBOLO ECONOMIC DEVELOPMENT CORPORATION ("CEDC"); AUTHORIZING AND DIRECTING THE CEDC'S PRESIDENT TO REVISE THE CEDC'S BYLAWS TO REFLECT THE AMENDMENTS APPROVED BY THE CITY COUNCIL AND OUTLINED IN THIS RESOLUTION; FINDING THE RESOLUTION TO HAVE BEEN CONSIDERED PURSUANT TO THE LAWS GOVERNING OPEN MEETINGS; PROVIDING A SEVERABILITY CLAUSE; AND ESTABLISHING AN EFFECTIVE DATE. WHEREAS, the City of Cibolo, Texas ("City") is a home rule municipality and the Cibolo Economic Development Corporation ("CEDC") is a Type B economic development corporation created by the City pursuant to Chapter 501 and 505 of the Texas Local Government Code; and WHEREAS, the CEDC's Board of Directors after its creation by the City adopted a set of Bylaws pursuant to Section 501.064 of the Texas Local Government Code; and WHEREAS, pursuant to Section 501.064 of the Texas Local Government Code the CEDC's Bylaws were approved by the City Council of the City of Cibolo, Texas ("City Council"); and WHEREAS, the CEDC's Board of Directors have determined that several amendments to its Bylaws were necessary and desirable; and WHEREAS, on June 16, 2022, the CEDC's Board of Directors approved several amendments to the CEDC's Bylaws and submitted these amendments to the CEDC's Bylaws to the City Council for its review, consideration and approval; and WHEREAS, on July 26, 2023, amendments to the CEDC's Bylaws were approved by the City Council; and WHEREAS, the pursuant to Section 501.064 of the Texas Local Government Code, such amendments require Council approval by Resolution; and WHEREAS, proposed final amendments to the CEDC's Bylaws by the City Council are specified in Exhibit "A" attached to this Resolution and incorporated herein for all purposes; and WHEREAS, the City Council believes the proposed final amendments to the CEDC's Bylaws as specified in Exhibit "A" are deemed reasonable and acceptable; and L & B 24672/00R/M49474.DOC/ WHEREAS, the City Council desires to adopt this Resolution and approve the proposed final amendments to the CEDC's Bylaws; now, therefore BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CIBOLO, TEXAS: 1. That the CEDC's Bylaws are hereby amended as specified in the document attached as Exhibit "A" to this Resolution. 2. That the CEDC's President is hereby authorized and directed to revise and conform the CEDC's Bylaws to reflect the final amendments outlined in this Resolution. 3. It is officially found, determined and declared that the meeting at which this Resolution is adopted was open to the public, and that public notice of the time, place, and subject matter of the public business to be conducted at such meeting, including this Resolution, was given to all as required by the Texas Codes Annotated, as amended, Title 5, Chapter 551, Government Code. 4. If any part, section, paragraph, sentence, phrase, or word of this Resolution is for any reason held to be unconstitutional, illegal, inoperative, invalid or ineffective, or if any exception to or limitation upon any general provision herein contained is held to be unconstitutional, illegal, inoperative, invalid or ineffective, the remainder of this Resolution shall nevertheless stand effective and valid as if it had been enacted without the portion held to be unconstitutional, illegal, inoperative, invalid, or ineffective. This Resolution becomes effective immediately upon its passage. Passed and approved this, the 13 day of June 2023.
